These Terms of Service ("Terms") govern your use of the ERP Research website at www.erpresearch.com (the "Site"), operated by ERP Research ("we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

1. Use of the Site

The Site provides independent ERP software research, vendor comparisons, pricing information, and related resources for informational purposes. You may use the Site for your own business research and evaluation needs.

You agree not to:

• Use the Site for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to gain unauthorized access to any part of the Site, its servers, or any connected systems.
• Scrape, crawl, or use automated means to extract data from the Site beyond what is permitted by our robots.txt file, without prior written permission.
• Interfere with or disrupt the Site or the servers and networks connected to it.
• Submit false, misleading, or spam content through any form on the Site.

2. Accounts and Registration

Certain features of the Site — such as the Partner Portal and Benchmark data access — require account registration or payment. When you create an account or make a purchase, you agree to:

• Provide accurate and complete information.
• Keep your login credentials confidential.
• Accept responsibility for all activity that occurs under your account.
• Notify us promptly of any unauthorized use of your account.

3. Paid Services

3.1 Benchmark Data Access

We offer paid access to benchmark data through one-time purchases and subscriptions. Payments are processed by Stripe. By purchasing, you agree to Stripe's Terms of Service.

3.2 Partner Portal Listings

ERP implementation partners may purchase listings on our partner directories through monthly subscriptions. Listings are subject to review and approval. We reserve the right to reject or remove any listing at our discretion.

3.3 Refunds

For one-time purchases, you may request a refund within 14 days of purchase if you have not substantially used the service. Subscription fees are non-refundable for the current billing period but you may cancel at any time to prevent future charges. To request a refund, contact us at support@erpresearch.com.

4. Intellectual Property

All content on the Site — including text, graphics, data, research, comparisons, templates, and software — is owned by ERP Research or its licensors and is protected by copyright and other intellectual property laws.

You may:

• View, download, and print content for your own non-commercial business research purposes.
• Share links to pages on the Site.

You may not:

• Reproduce, distribute, or create derivative works from our content without written permission.
• Use our benchmark data, pricing data, or research commercially (e.g., in a competing product) without a license.
• Remove any copyright, trademark, or other proprietary notices.

5. User Content

When you submit information through forms, the chatbot, or the Partner Portal (including company profiles, case studies, and testimonials), you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content in connection with operating the Site. You represent that you have the right to submit such content and that it does not violate any third-party rights.

6. Disclaimer of Warranties

The Site and its content are provided "as is" and "as available" without warranties of any kind, whether express or implied.

• ERP pricing, feature information, and vendor comparisons are based on publicly available data and our independent research. We make reasonable efforts to keep information accurate and current, but we do not guarantee its completeness or accuracy.
• Benchmark data is based on aggregated case studies and publicly reported information. Actual costs and outcomes will vary.
• We do not endorse any specific ERP vendor, implementation partner, or product.

7. Limitation of Liability

To the maximum extent permitted by law, ERP Research shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, or other intangible losses, arising from:

• Your use of or inability to use the Site.
• Any errors or inaccuracies in pricing data, vendor comparisons, or other content.
• Any unauthorized access to or use of our servers or personal information stored therein.
• Any ERP vendor selection, implementation, or purchasing decision made based on information from the Site.

8. Indemnification

You agree to indemnify and hold harmless ERP Research, its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Site, your violation of these Terms, or your violation of any third-party rights.

9. Third-Party Links

The Site may contain links to third-party websites. We are not responsible for the content, privacy practices, or terms of any third-party sites. Accessing them is at your own risk.

10. Termination

We may suspend or terminate your access to the Site or any paid services at our discretion, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Site shall be resolved in the courts located in Delaware.
